DENU is a digital media and marketing agency providing strategic campaign management, media growth solutions, content strategy, and partner coordination (including working with creators, clippers, and brands). Specific deliverables, compensation, campaign terms, and performance metrics for individual projects are governed by separate master service agreements or campaign briefs executed directly between DENU and the respective client or partner.2. Eligibility & Account Responsibilities
Age Requirements: You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use our Services or execute commercial agreements with DENU.Account Authenticity: You agree to provide accurate, current, and complete information when contacting us, submitting applications, or registering for campaign activities.Prohibited Conduct: You shall not attempt to gain unauthorized access to our infrastructure, scrape data, upload malicious code, or engage in fraudulent activity regarding campaign metrics or performance data.3. Intellectual Property Rights
DENU Assets: All branding, logos, trademarks, website design, text, graphics, and underlying code associated with www.denu.agency are the exclusive property of DENU Media and are protected by applicable intellectual property laws.Client & Partner Content: Ownership of custom campaign materials, promotional videos, clips, and associated intellectual property rights shall be governed by the specific terms outlined in the applicable client or campaign contract. Nothing in these Terms grants you ownership over any DENU or third-party assets without explicit written authorization.4. Third-Party Links & Services
Our Service may contain links to third-party platforms, social media networks, or payment processors (e.g., Stripe). DENU does not control or assume responsibility for the content, privacy policies, or practices of any third-party websites or services. Your interactions with third parties are solely between you and the respective provider.5. Payments & Financial Terms
a. Payment Structure
Compensation is performance-based (e.g. cost-per-view or cost-per-impression), with specific rates, eligibility criteria, and minimum thresholds set on a per-campaign basis. DENU reserves the right to verify performance metrics, including engaging third parties where necessary, and to adjust or withhold payment where fraudulent activity is identified (including bot traffic or artificially inflated engagement). Where payment is withheld, you will be notified and given the opportunity to respond; only the disputed amount will be withheld, not the full payment.DENU acts as an intermediary between Clients and Clippers. Payment owed to you is contingent on DENU receiving payment from the relevant Client. DENU will make reasonable efforts to collect amounts owed by Clients but does not guarantee full payment will be remitted. In the event of non-payment by a Client after DENU has exhausted reasonable collection efforts, you retain the right to pursue any remedy available to you under applicable law.b. Processing of Payments
Payments are processed via a secure third-party payment processor (e.g., PayPal, Stripe, Wise or similar), and by using our Services you agree to that processor's applicable terms. You authorize DENU to share necessary account and transaction details with the payment processor for this purpose. Payments are typically issued on a Net 30 basis from the end of each campaign, subject to campaign-specific requirements and minimum payout thresholds. DENU is not responsible for delays or errors resulting from incorrect payment details or third-party processing issues.c. Tax Responsibilities
As an independent contractor, you are solely responsible for all taxes, fees, or governmental charges applicable to your earnings under this arrangement.6. Limitation of Liability & Warranties
"As Is" Basis: The Service on www.denu.agency is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.Limitation of Damages: To the maximum extent permitted by applicable law, DENU, its directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of your access to or inability to use the Service.7. Indemnification
You agree to defend, indemnify, and hold harmless DENU Media, its officers, directors, employees, and contractors from and against any claims, liabilities, damages, judgments, losses, or expenses (including reasonable legal fees) arising out of your violation of these Terms or your infringement of any third-party rights.8. Governing Law & Jurisdiction
